Terms and Conditions

These Terms & Conditions (“Terms”) govern access to and use of the Donate Equity platform (“Platform”) provided by Donate Equity LLC (“Donate Equity,” “we,” “us,” or “our”). By accessing or using the Platform, you (“User,” “you,” or “your”) agree to be bound by these Terms.
These Terms apply to all users, including nonprofit organizations, donors, foundations, advisors, appraisers, and service providers.
1. Purpose of the Platform
Donate Equity provides workflow software and services to facilitate early-stage equity donations, including document management, onboarding automation, user task coordination, and integrations with trusted third-party systems.
Donate Equity does not act as a financial advisor, legal counsel, broker-dealer, or tax consultant. All users are solely responsible for compliance with applicable laws, tax regulations, and fiduciary responsibilities.
2. Eligibility and Use
To use the Platform, you must:
Be at least 18 years of age and legally capable of entering into binding agreements
Use the Platform only for lawful purposes and in accordance with these Terms
Ensure that all information you provide is accurate and up to date
Use of the Platform may require account creation. You agree to maintain the confidentiality of login credentials and are responsible for all activity under your account.
3. Platform Access and Service Scope
Subject to these Terms, Donate Equity grants you a limited, non-exclusive, non-transferable right to access and use the Platform solely for its intended purpose.
The Platform includes:
A guided system for initiating, reviewing, and coordinating equity donations
Task management tools involving nonprofits, donors, advisors, foundations, and appraisers
Document generation and electronic signature support
APIs and integrations with third-party tools (e.g., HubSpot, Stripe, DocuSign, Foundant, UserGuiding)
We reserve the right to modify the Platform at any time, including adding or removing features, to improve functionality or maintain compliance with applicable standards.
4. User Responsibilities
You agree to:
Use the Platform only in accordance with applicable laws and regulations
Promptly notify us of any unauthorized access or use of your account
Not misrepresent your authority to initiate or manage a donation
Not misuse, interfere with, or disrupt the Platform or any connected systems
Not copy, reverse engineer, or resell any part of the Platform
Donors are solely responsible for confirming the legality, transferability, and enforceability of any equity gift. Nonprofits are solely responsible for accepting, managing, and reporting donations received.
5. Confidentiality and Data Protection
Donate Equity maintains commercially reasonable administrative, technical, and physical safeguards to protect personal data and sensitive documents submitted via the Platform.
You authorize Donate Equity to process data necessary for Platform operation, including communications between participating users and transmission of documents for signing and compliance.
We may collect anonymized or aggregated usage data to improve product performance and functionality. Please review our separate Privacy Policy for full details.
5A. Marketing & Communication
Donate Equity may contact you by email or other channels to provide onboarding support, product education, or marketing content relevant to your user role (e.g., nonprofit staff, donor, advisor).
By using the Platform, you consent to the use of non-sensitive usage data (e.g., onboarding steps completed, page activity) for the purposes of delivering targeted education and remarketing campaigns, including ads on platforms such as LinkedIn, Meta, Google, and YouTube.
You may opt out of marketing communications at any time by clicking “unsubscribe” in any message or contacting admin@donateequity.com. Opting out will not affect transactional or account-related communications.
6. Third-Party Tools and APIs
The Platform may integrate with third-party providers such as:
Stripe (billing and transaction workflows)
DocuSign or HelloSign (e-signatures)
HubSpot (CRM and outreach)
Foundant (foundation CRM)
UserGuiding (in-app education)
Intercom (customer support)
You acknowledge that:
These services are operated independently by third parties
Donate Equity is not liable for failures, delays, or inaccuracies in third-party systems
Use of integrated features constitutes acceptance of the third party’s own terms of service
We reserve the right to change, suspend, or remove integrations without prior notice.
7. Intellectual Property
All content, software, design elements, and related technology of the Platform are the exclusive property of Donate Equity and its licensors. Nothing in these Terms grants any right, title, or interest in or to the intellectual property of Donate Equity except as expressly permitted.
You may not use Donate Equity’s name, logo, or trademarks without prior written consent.
8. Disclaimers
The Platform is provided “as is” and “as available.” To the fullest extent permitted by law:
We do not warrant that the Platform will be uninterrupted, secure, or error-free
We do not guarantee the accuracy or legal sufficiency of documents or processes generated through the Platform
We are not liable for any decisions made, or actions taken, by users based on their use of the Platform
Nothing provided on the Platform should be interpreted as financial, legal, or tax advice.
9. Limitation of Liability
To the maximum extent allowed by law, in no event shall Donate Equity be liable for:
Indirect, incidental, or consequential damages
Loss of profits, data, goodwill, or use
Errors or omissions in data entered by users or third-party integrations
Delays or failures outside our reasonable control
Our total liability under these Terms will not exceed the greater of (i) the total amount paid by you to Donate Equity in the twelve months prior to the claim or (ii) one hundred U.S. dollars ($100).
10. Suspension and Termination
We may suspend or terminate your access to the Platform if:
You breach these Terms
You engage in fraudulent or unlawful behavior
Required by law or regulatory authority
Upon termination, you will lose access to your account and associated materials. We may retain data as required for legal or compliance reasons.
11. Amendments
Donate Equity may update or modify these Terms at any time. We will provide notice via email or in-app alert if material changes are made. Continued use of the Platform after such notice constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Indiana, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Indiana.
